Newton Golf Company, Inc. (NASDAQ: NWTG) (the “Company” or “Newton Golf”), a technology-forward golf equipment company, today announced its successful entry into the U.S. critical minerals sector through completing the acquisition of an option to acquire the Pole Canyon project, a historic beryllium-tungsten property in White Pine County, Nevada.
This promising transaction gives Newton Golf direct exposure to two minerals the U.S. government has designated critical to national and economic security and recommended policy changes requiring a U.S. stockpile, at a time when investor and policy attention on domestic strategic-mineral supply chains is intensifying.
As consideration for the acquisition, Newton Golf issued shares representing 19.9% of the Company’s issued and outstanding common stock.
The transaction marks Newton Golf’s first step into a sector that has drawn increasing public market attention as the U.S. works to reduce its reliance on foreign sources for materials used in defense, aerospace and advanced manufacturing. Several other publicly traded companies have recently announced acquisitions of critical minerals projects, reflecting broader investor demand for domestic exposure to this theme. Newton Golf structured the transaction as an option in order to gain exposure to the Pole Canyon project while limiting the Company’s near-term operating and capital commitments.
Newton Golf does not currently intend to conduct mining operations directly. The Company intends to evaluate potential strategic agreements, collaborations or partnerships for the option and related rights, including joint ventures, a sale, or other structures intended to reach the Company’s goal of increasing shareholder value. Newton Golf will continue operating its core business of premium golf equipment.

Pole Canyon Project
Pole Canyon is a past-producing beryllium-tungsten project consisting of 16 unpatented lode claims (MW 1-16) covering approximately 330 acres in White Pine County, Nevada, approximately 50 miles southeast of Ely. Historical project materials identify a mineralized system traced for more than 4,000 feet that was reported to remain open along strike and at depth — meaning prior work did not define its limits.
The historical project materials reference estimates of approximately 281,725 tons grading 0.75% beryllium oxide (BeO) and 0.30% tungsten trioxide (WO3). They also describe historical flotation test work by the U.S. Bureau of Mines, the Booth Company and the Colorado School of Mines that produced beryllium concentrate, and identified potential fluorspar, silver, lead, zinc and rare earth mineralization. The Company has not independently verified these estimates, metallurgical results or additional mineralization potential.
Strategic Market Context
Tungsten and beryllium sit at the center of the U.S. critical minerals conversation: both are named on the Final 2025 U.S. List of Critical Minerals, and both are essential inputs for defense, aerospace and advanced manufacturing applications where domestic alternatives are limited. The United States has had no domestic tungsten mine production since 2015, remains more than 50% import-reliant and depends on a global market in which China accounts for approximately 79% of mine production — a concentration increasingly viewed as a supply-chain vulnerability by policymakers and investors alike.
Starting January 1, 2027, updated U.S. defense procurement rules under the Defense Federal Acquisition Regulation Supplement (DFARS) will ban the procurement of tungsten that is mined, produced, or processed in China, Russia, Iran, or North Korea.
The only current active beryllium mine in the U.S. is the Spoor Mountain mine in Utah operated by Materion Corporation, a NYSE-listed company and U.S.-based integrated beryllium producer and processor with processing sites in Ohio and Pennsylvania. It supplies high‑purity beryllium and alloys for aerospace, defense, and nuclear applications.
